1. Introduction

Welcome to MarketMasters PH. These Terms of Service ("Terms") govern your access to and use of the MarketMasters PH website, services, and courses (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Services.

2. Acceptance of Terms

By creating an account, enrolling in a course, or otherwise using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind such entity to these Terms.

3. Service Description

MarketMasters PH provides marketing education, training, and related services through various formats, including but not limited to online courses, in-person workshops, webinars, and educational materials.

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

4. User Accounts

Some features of our Services may require registration and the creation of an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding the password that you use to access the Services and for any activities or actions under your password. We encourage you to use strong passwords (passwords that use a combination of upper and lower case letters, numbers, and symbols) with your account.

You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

5. User Conduct

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services in any way that violates any applicable law or regulation.
• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
• Interfere with or disrupt the Services or servers or networks connected to the Services.
• Upload, post, or otherwise transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or invasive of another's privacy.
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services.
• Use the Services to advertise or offer to sell or buy any goods or services without our prior written consent.
• Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services without our express written permission.

6. Intellectual Property

The Services and their original content, features, and functionality are owned by MarketMasters PH and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You may not copy, modify, create derivative works of, publicly display, publicly perform, republish, or transmit any of the material obtained through our Services, or delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Services.

You acknowledge that all course materials, including videos, text, graphics, and other content provided as part of our Services, are owned or licensed by MarketMasters PH and may not be reproduced, distributed, or used for any commercial purpose without our express written consent.

7. Payment and Billing

Certain aspects of our Services require payment. By using these paid Services, you agree to pay all fees and charges associated with your account on a timely basis and in accordance with the pricing and payment terms presented to you at the time of purchase.

We use third-party payment processors to bill you through a payment account linked to your account. The processing of payments will be subject to the terms, conditions, and privacy policies of the payment processor, in addition to these Terms.

All payment obligations are non-cancelable, and all amounts paid are non-refundable, except as specifically provided in these Terms or as required by applicable law.

8. Refund Policy

We offer a limited refund policy for our courses. Refund requests must be submitted within 7 days of enrollment for online courses and 3 days before the start date for in-person workshops or events.

Refunds are issued at our discretion and may be denied if we determine that the Services have been accessed or used beyond a reasonable extent, or if the refund request is made after the refund period has expired.

In the event a refund is approved, it will be processed using the original payment method and may take up to 14 business days to be reflected in your account.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

MarketMasters PH and its affiliates, service providers, and partners do not warrant that the Services will function uninterrupted, secure, or available at any particular time or location; that any errors or defects will be corrected; or that the Services are free of viruses or other harmful components.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MARKETMASTERS PH, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THE SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE AMOUNT PAID BY YOU TO MARKETMASTERS PH OVER THE 12 MONTHS PRIOR TO SUCH CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless MarketMasters PH, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

12. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or contact us to request account deletion.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions. Any legal action or proceeding relating to your access to or use of the Services shall be instituted in the courts of the Philippines, and you agree to submit to the personal jurisdiction of such courts.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.
